These Terms of Service ("Terms") govern your access to and use of the SodPro mobile application, website, and related services (collectively, the "Service") provided by Matt Hamm d/b/a SodPro ("SodPro," "we," "our," or "us").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Description of Service

SodPro provides software tools designed to help landscaping, sod installation, and related businesses create estimates, generate quotes, manage customer information, send customer communications, and organize business operations.

• Quote and estimate generation
• Customer record management
• Voice-to-quote functionality
• AI-assisted quote generation
• SMS messaging features
• Subscription-based premium features

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time.

Eligibility

You must be at least 18 years old to use the Service.

By using SodPro, you represent and warrant that:

• You are at least 18 years old.
• You have authority to enter into these Terms.
• All information you provide is accurate and current.

Account Registration

To use certain features, you must create an account using an email address and password.

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• Restricting access to your account.
• All activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account.

User Data and Customer Information

The Service allows users to store business and customer information, including:

• Customer names
• Customer addresses
• Customer phone numbers
• Customer email addresses
• Quote information
• Project details
• Measurements and job information

You are solely responsible for:

• The accuracy of information entered into the Service.
• Obtaining any permissions required to collect and store customer information.
• Compliance with applicable privacy and data protection laws.

SodPro does not verify the accuracy of user-submitted information.

SMS Messaging and Recipient Consent

SodPro may allow users to send SMS messages to customers and other contacts through Twilio or other messaging providers.

You are solely responsible for ensuring that you have obtained all necessary permissions, consents, and authorizations required by applicable laws before sending SMS messages through the Service.

You agree not to use the Service to send:

• Unsolicited messages
• Spam messages
• Marketing messages without required consent
• Messages that violate applicable telecommunications, privacy, or consumer protection laws

You acknowledge that:

• Message delivery is not guaranteed.
• Carrier fees, message rates, and data charges may apply.
• SodPro acts solely as a software platform and messaging facilitator.

You agree to defend, indemnify, and hold harmless Matt Hamm d/b/a SodPro from any claims, fines, penalties, investigations, damages, losses, costs, or liabilities arising from SMS messages you send using the Service.

AI-Powered Features

SodPro may provide AI-assisted features, including quote generation from voice recordings or user-provided information.

AI-generated content is provided as a convenience tool only.

You acknowledge that:

• AI-generated results may contain errors.
• Estimates and quotes should be reviewed before being shared with customers.
• SodPro does not guarantee the accuracy, completeness, or suitability of AI-generated content.

You remain solely responsible for all quotes, pricing, measurements, recommendations, and communications generated through the Service.

Subscriptions and Billing

Auto-Renewing Subscriptions

Certain features of SodPro require a paid subscription.

Subscriptions are offered through Apple's App Store and automatically renew unless canceled before the end of the current subscription period.

Billing

Payment is charged through your Apple App Store account upon purchase confirmation.

Subscription fees are billed according to the pricing displayed at the time of purchase.

Subscription Management

You may manage or cancel your subscription through your Apple App Store account settings.

Deleting the app does not automatically cancel a subscription.

Refunds

Refund requests are handled by Apple according to Apple's refund policies.

Matt Hamm d/b/a SodPro does not directly issue refunds for App Store purchases.

Acceptable Use

You agree not to:

• Violate any applicable laws or regulations.
• Use the Service for fraudulent activities.
• Upload malicious software, viruses, or harmful code.
• Attempt to gain unauthorized access to accounts, systems, or networks.
• Reverse engineer, decompile, or attempt to extract source code from the Service except where permitted by law.
• Interfere with the operation or security of the Service.
• Use the Service to send SMS messages without required recipient consent or in violation of applicable messaging laws.

Intellectual Property

The Service, including software, features, functionality, logos, trademarks, designs, and content provided by SodPro, is owned by Matt Hamm d/b/a SodPro and protected by intellectual property laws.

These Terms do not grant you ownership rights to the Service.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted access.

The Service may be unavailable due to:

• Scheduled maintenance
• Software updates
• Technical issues
• Third-party service interruptions
• Events beyond our control

We are not liable for downtime, interruptions, or data loss resulting from such events.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATT HAMM D/B/A SODPRO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OF AI-GENERATED CONTENT
• ACCURACY OF ESTIMATES OR QUOTES

WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATT HAMM D/B/A SODPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES DAMAGES RELATED TO:

• LOST PROFITS
• LOST BUSINESS OPPORTUNITIES
• LOST DATA
• CUSTOMER DISPUTES
• INACCURATE ESTIMATES OR QUOTES
• USE OF AI-GENERATED CONTENT
• SMS DELIVERY FAILURES OR CUSTOMER COMMUNICATION DISPUTES

IN NO EVENT SHALL MATT HAMM D/B/A SODPRO'S TOTAL LIABILITY EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
2. ONE HUNDRED U.S. DOLLARS ($100).

Indemnification

You agree to defend, indemnify, and hold harmless Matt Hamm d/b/a SodPro, its officers, members, employees, contractors, and affiliates from any claims, damages, liabilities, losses, and expenses arising from:

• Your use of the Service.
• Your violation of these Terms.
• Information you submit to the Service.
• Claims involving your customers, estimates, quotes, SMS messages, or business practices.

Suspension and Termination

We may suspend or terminate your access to the Service if:

• You violate these Terms.
• We are required to do so by law.
• Continued access poses a security or operational risk.

You may stop using the Service at any time.

Termination does not relieve you of obligations incurred before termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles.

Changes to These Terms

We may update these Terms from time to time.

Updated versions will be posted at:

Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

Apple App Store Additional Terms

If you access SodPro through Apple's App Store:

• These Terms are between you and Matt Hamm d/b/a SodPro, not Apple.
• Apple is not responsible for the Service or its content.
• Apple has no obligation to provide maintenance or support services.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you if applicable.

Nothing in these Terms limits any rights you may have under applicable consumer protection laws.
